Our corporate structure is an uncommon one and can sometimes lead to misunderstandings,
particularly with regard to the firm's market capitalization.
Calamos Asset Management, Inc. ("CAM") is a public company with Class A shares trading
on the NASDAQ Global Select Market under the ticker symbol CLMS. CAM's Class B shares are
owned by Calamos Family Partners, Inc. ("CFP"), and have afforded CFP with majority
voting control of CAM since CAM went public in 2004. As of September 30, 2013, CFP
retained 97.4% of voting control.
Calamos Investments LLC is a consolidated company in which CAM holds a 22.2%
economic interest and CFP holds a 77.8% economic interest as of September 30, 2013.
CAM operates and controls all of the business and affairs of Calamos Investments,
and it consolidates the financial results of Calamos Investments with its own
financial results (CAM and Calamos Investments are collectively referred to
as the "Company"). Because of CAM's business control, in our financial statements
CFP is also referred to as "non-controlling interests in Calamos Investments LLC."
John P. Calamos, Sr. is the Chairman, Chief Executive Officer and Global Co-Chief
Investment Officer of the Company. The Company is a diversified global investment
management company offering innovative investment strategies including equity,
lower-volatility equity, fixed income, convertible and alternative investments.
The firm offers strategies through separately managed portfolios, mutual funds,
closed-end funds, private funds and UCITS funds. Clients include major
corporations, pension funds, endowments, foundations and individuals, as well as
the financial advisors and consultants who serve them. The Company has retained
its character as a boutique investment firm – one that originally specialized in
convertible investments – while diversifying into new investment portfolios, such
as global equities. Headquartered in Naperville, Illinois, the Company also has
offices in London and New York.
