Our portfolio construction process combines our insights about economic conditions and broader investment themes with our analysis of individual securities. We use a proprietary, integrated research and monitoring process that leverages our years of experience and application, as well as long-standing principles and current academic research. This process is applied to all of our strategies, within the specific parameters of each investment strategy.

We believe that it is impossible to manage returns, but only the risk taken to achieve results. Accordingly, risk management is integrated fully throughout all aspects of our investment approach. Through active management, we believe we can help guard against unforeseen events and the potential risks of an unpredictable market.

Top-Down Insights Provide Overarching Perspective

Our investment process incorporates top-down analysis of the global macroeconomic environment, sectors and (as appropriate) regions and countries. We also identify long-term secular themes that we believe will influence opportunities for decades to come. Our experience has shown that these secular themes provide a powerful tailwind to select companies, particularly during periods of slower economic growth and less hospitable business environments. Our chief investment officers, drawing upon the insights of our senior strategy analysts, define the top-down themes and macro views that guide our portfolio construction process.

Comprehensive Security Research

Our top-down analysis is paired with our comprehensive security research. We first determine the intrinsic value of the company, and then utilize quantitative and qualitative inputs to value the various securities within its capital structure. We believe the thorough understanding of a company from both a debt and equity security perspective allows us to gain a truer understanding of a company's potential and its risks. (Please refer to previous page for additional details.) Security analysis is carried out by our research team, with ongoing participation from our co-chief investment officers.

Portfolio Construction

As in our top-down analysis and security research, risk management remains a principal consideration in our construction process. Portfolio construction guidelines are established at the highest level, by our chief investment officers.

Before we invest, we consider the security's impact on the portfolio's industry and sector allocation ensuring that the intended diversification is maintained across themes and sectors. We also structure the portfolio to reference our thematic emphases. Our construction process considers the following: position size (generally not exceeding 5% at the company level), sector and industry weightings, region and country weightings, and cash allocation (typically 0-5%, as we generally remain fully invested).

Ongoing Monitoring

Many members of our team monitor each portfolio on an ongoing basis, including our research analysts, traders and dedicated risk oversight team. Monitoring and risk supervision includes scenario, risk/reward, attribution and liquidity analysis, as well as the careful tracking of portfolio characteristics.

Investment Process

Investment candidates emerge from the intersection of top-down and bottom-up analysis. These securities are vetted more extensively within the context of the overall portfolio. Continual monitoring and risk management analysis ensure that each portfolio maintains appropriate diversification and risk/reward characteristics.

Credit analysis has been entrenched in the Calamos investment process since the firm started managing convertible portfolios more than 30 years ago. In-depth credit analysis is required when analyzing convertibles to determine the appropriate discount rate for calculating the security's straight bond value. The convertible universe's longer-term historical exposure to non-investment grade credits, which is above 50%, has required us to remain continually credit focused. But our credit analysis is equally important when we evaluate investment grade bonds, high yield corporate bonds, and equities.

Historical Analysis

The historical analysis begins with a review of traditional credit ratios, such as the current ratio, debt-service coverage ratio and debt to total capital ratio.

This helps to provide an initial understanding of a company's balance sheet and cash flow coverage, as well as offering a relative peer group perspective. Basic credit ratios help when evaluating historical trends, relative positioning and performance among industry peers, and management's risk tolerance. More specifically, ratio analysis can help assess profitability, liquidity of assets, interest coverage or debt servicing capabilities, cash flow, capital structure leverage, off-balance sheet liabilities, cyclicality of the business, industry competitiveness, and more.

Market-based Models

The flaw in historical ratio analysis is that it is backward-looking and can be updated only a few times a year. Historical ratios ignore the valuable information available in current equity and debt market prices. Markets are open 250 days a year and provide meaningful feedback. We view market signals, such as prices in equity and debt markets, as reflecting the collective knowledge of all participants, which is updated constantly and responds immediately to the changing market environment.

Fundamental Analysis

Both historical and forward-looking approaches are valuable to gain a solid understanding of a company's risks, but have flaws when used in isolation. To improve the overall credit analysis process and achieve a better understanding of the underlying business, we meld the historical and future analyses with numerous qualitative factors that cannot be easily modeled in any software system and that require the knowledge and experience of our research team. The more we know about the underlying business than the average market participant, the better we can exploit market inefficiencies in our goal to produce alpha.

Pricing Credit Risk

Once we believe we understand a company's risk, we still must determine how to price the credit risk and decide if we are being compensated for taking on those risks. We take several different approaches to pricing. we conduct a recovery analysis on the debt by examining the balance sheet assets and factor in a partial loss of principal in a bankruptcy liquidation. We further analyze recoveries by assessing potential going-concern firm valuations by reviewing multiples of sales numbers or EBITDA (earnings before interest, taxes, depreciation and amortization). The analysis includes an assessment of EBITDA and sales quality as well as sustainability, priority of claims in the capital structure, and current market conditions.

John P. Calamos, Sr.

John P. Calamos, Sr. has pioneered investment strategies and techniques to help manage risk for major institutional and individual investors over the course of more than 30 years. He is the Co-Leader of the Investment Committee alongside Gary Black. As founder of Calamos Asset Management, Inc., his experience includes a successful history of developing research and investment processes and building a team-based approach focused on delivering value-added performance. He has established a record of outperformance across an array of investment strategies ranging from conservative to aggressive.

Mr. Calamos received his undergraduate degree in Economics and an MBA in Finance from the Illinois Institute of Technology. Joining the United States Air Force after graduation, he served as a combat pilot during the Vietnam War and ultimately earned the rank of Major. Following his military service, John devoted his entire professional career to investment management and research, establishing his own firm in 1977.

Mr. Calamos is a member of the Investment Analysts Society of Chicago and has taught graduate level courses on finance and investments. Gary Black

The Calamos value process starts with a quantitative scan every Sunday night, from which the team generates its "best" list for the week. The initial universe begins with companies with market capitalizations of more than $100 million, primarily U.S. listed companies and ADRs. The team considers all sectors and industries. The list is sorted first by market capitalization, identifying companies with market capitalization of more than $1 billion (about 1,500 companies). Then the team uses a proprietary cash flow model to screen for companies with sustainable return on total invested capital, excluding companies earning a return of less than 15%. This narrows the universe to about 300 to 400 good companies.

Fundamental Research

The remaining high-performers are sorted by price-to sustainable cash flows. The team then analyzes those businesses on a "common sense" basis—that is, are these businesses that they would want to own all of, on a private basis, and rely upon only the cash flow from these businesses to pay the bills?

Through qualitative research, the team identifies businesses with high sustainable returns on capital that are trading for a low price relative to those sustainable cash flows. This approach favors companies with simple businesses, competent corporate management, strong brands, high competitive barrier and pricing power. The team wants businesses that not going to become obsolete and do not require large amounts of capital reinvestment to maintain their cash flows. Such companies differ markedly from highly capital-intensive businesses such as a semiconductor manufacturing, in which huge amounts of money are invested in R&D to produce a chip that costs billions to produce, and which may only give the maker an edge over its competitors for six months or so. The team seeks to avoid these latter businesses at all costs. The team will also assess sentiment and sell-side research.

This qualitative analysis narrows the list to about 200 good operating businesses that are capable of generating the team's hurdle rate of return over time.

Valuation Analysis

A company can be cheap for a good reason, so the team actively works to avoid "value traps." The Calamos Value team's definition of value does not always match up with traditional definitions of value, in that our team does not solely look at investments because they are cheap on a price-to-earnings or price-to-book basis. Instead, the key metric of the team's valuation analysis is price-to-cash flow, adaptive to industry.

The team establishes a price target and a catalyst that could move a company's stock price higher over the next three to nine months. Such catalysts could include an executive change, merger or acquisition activity, improving sales and margins, sentiment or event-driven technical analysis.

On average, about 40 companies meet these criteria and are included in the portfolio.

Portfolio and Risk Management

The team monitors holdings on a continual basis. Their focus is on producing consistent results and loss mitigation, and overall diversification of sector exposures. They employ dynamic technical trading analysis for position entry and exist as well as strategies to manage macro and investment-specific risks. As a result of this approach, the team generally expects a higher level of turnover than a traditional value manager.

Prior to that, Mr. Miller was Vice President of Equity Research at Keefe, Bruyette & Woods, Inc. Mr. Miller was instrumental in developing valuation models for KBW's recommended list, and was also a key proponent of focusing on capital management for banks and thrifts as a primary driver of shareholder value creation.

Ariel Fromer, CFA

Tammy Miller

Prior to joining Calamos, Tammy Miller was head of research for the American Independence Stock Fund (ISISX), responsible for research on nonlife insurance, metals and mining, industrial, energy, defense and healthcare sectors. Previously, Ms. Miller held the same position as a managing director at Miller & Jacobs Capital, LLC (MJC). Prior to joining MJC in 2005, Ms. Miller was a vice president at Mizuho Corporate Bank, where she served as a portfolio manager for Mountain Capital Advisors. Previously, Ms. Miller was vice president and head of Mizuho's Asset Recovery Group, with prior experience in Fuji Bank's Leveraged Finance Group and Americas Division overseeing credit and risk management of Heller Financial. She previously served as a board member of the Financial Women's Association and was an initial member of the Distressed Debt Committee of the Loan Syndication and Trading Association.

John P. Calamos, Sr.

Chief Executive Officer, Global Co-Chief Investment Officer
43 years of investment industry experience

John P. Calamos, Sr. has pioneered investment strategies and techniques to help manage risk for major institutional and individual investors over the course of more than 30 years. He is the Co-Leader of the Investment Committee alongside Gary Black. As founder of Calamos Asset Management, Inc., his experience includes a successful history of developing research and investment processes and building a team-based approach focused on delivering value-added performance. He has established a record of outperformance across an array of investment strategies ranging from conservative to aggressive.

Mr. Calamos received his undergraduate degree in Economics and an MBA in Finance from the Illinois Institute of Technology. Joining the United States Air Force after graduation, he served as a combat pilot during the Vietnam War and ultimately earned the rank of Major. Following his military service, John devoted his entire professional career to investment management and research, establishing his own firm in 1977.

Mr. Calamos is a member of the Investment Analysts Society of Chicago and has taught graduate level courses on finance and investments. Mr. Calamos has written two books: Investing in Convertible Securities: Your Complete Guide to the Risks and Rewards, and Convertible Securities: the Latest Instruments, Portfolio Strategies, and Valuation Analysis, along with numerous articles in various financial journals. He is often quoted in the press, including The Wall Street Journal, Investor's Business Daily, Barron's, Fortune, BusinessWeek and Pensions & Investments. He has appeared on Bloomberg, CNBC, CNNfn, Louis Rukeyser's Wall Street and Nightly Business Report.
Gary Black

Executive Vice President, Global Co-Chief Investment Officer

As Global Co-Chief Investment Officer, Mr. Black oversees portfolio management, trading, research and risk management in partnership with John P. Calamos, Sr. with whom he leads the Investment Committee.

Prior to joining Calamos in 2012, he served as Founder, Chief Executive Officer and Chief Investment Officer of Black Capital LLC. He incepted and led an investment management team specializing in a long/short equity strategy.

Prior to that, he served as CEO and CIO of Janus Capital Group and previously was CIO of Global Equities at Goldman Sachs Asset Management. He also led GSAM's U.S. distribution efforts.

Previously, Mr. Black was Executive Vice President and head of AllianceBernstein's global institutional business. He started as a research analyst and was ranked the top analyst in his category in Institutional Investor's "All America Research Team" from 1992 – 1998.

Mr. Black received his undergraduate degree in Economics from the Wharton School of the University of Pennsylvania and an MBA from Harvard Business School.

Brendan Maher, CFA

Sr. Vice President, Portfolio Manager

Mr. Maher is a senior vice president and portfolio manager within the Calamos Long/Short Equity team. Previously, he served as a portfolio manager at Black Capital. Prior to joining Black Capital, Mr. Maher was a founding partner of Savannah-Baltimore Capital Management, LLC, a global long/ short equity hedge fund. While at Savannah-Baltimore, Mr. Maher was a member of a senior team responsible for managing over $1.5 billion in assets and a staff of 14 professionals. Mr. Maher had primary analytical responsibility for the global financials, retail, and real estate sectors. Prior to that, Mr. Maher was a founding partner at Gothic Capital Management LLC, a $100 million long/ short equity hedge fund, from 1999 through 2004. Mr. Maher was one of three investment partners directly responsible for allocating capital across multiple industries and focused on the financials, consumer, and real estate sectors. Previously, he was an equity research senior associate at Fidelity Management and Research Company from 1997 through 1999. He began his career at Credit Suisse First Boston as an equity research associate in 1994.

Mr. Maher is the Founder of FISH, Inc., a non-profit social venture incubator and is currently a member of the Board of Trustees of TEAM Charter Schools in Newark, New Jersey. Mr. Maher earned a BA in Finance, cum laude from the University of Notre Dame. He is a CFA charterholder.
Himanshu Sheth

Vice President, Portfolio Manager

Mr. Sheth is a vice president and portfolio manager within the Calamos Long/Short Equity Team. Previously, he was a sector head at Black Capital. Prior to joining Black Capital, Mr. Sheth was a principal and key member of the investment team at JAI Capital Management, a long/ short equity hedge fund, where he focused on the energy, materials, and industrials sectors. Previously, Mr. Sheth was a research analyst at One East Partners, a $1.5 billion multi-strategy firm, where he originated investment positions across the capital structure in equity, debt and privates and focused on investments in the energy, technology and consumer sectors. Prior to One East Partners, Mr. Sheth was an associate in Goldman Sachs Special Situations Group (SSG), a multi-billion dollar internal hedge fund. Prior to joining Goldman Sachs, he was an associate at Gleacher Partners where he evaluated, executed and monitored private equity and debt investments, across a range of industries for the $300 million Gleacher Mezzanine Fund. Mr. Sheth began his career as an investment banking analyst at Bear Stearns in the Mergers & Acquisitions Group, focusing on the consumer and media industries.

Mr. Sheth is a graduate of the University of Pennsylvania, where he earned an MBA and a BS in Economics, with honors, and a concentration in Finance from the Wharton School, as well as a BA in History, with honors.
